Terms of Service

These Terms of Service ("Terms") govern your access to and use of the DashVault website, platform, and digital products (collectively, the "Service") operated by DashVault ("we," "us," or "our"). By creating an account, making a purchase, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Account Registration

1.1 Eligibility

You must be at least 16 years of age to create an account and use the Service. By registering, you represent that you meet this requirement.

1.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at support@dashvault.co if you suspect unauthorized access to your account. We are not liable for any loss arising from unauthorized use of your account.

1.3 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate and complete.

2. Products and Purchases

2.1 Digital Products

DashVault sells digital products, specifically Power BI template files (.pbit format) ("Templates"). Templates are delivered electronically via download from your account dashboard after purchase.

2.2 Pricing

All prices are displayed in US dollars and are inclusive of any applicable processing fees. We reserve the right to change prices at any time. Price changes do not affect previously completed purchases.

2.3 Payment Processing

All payments are processed securely by Stripe. By making a purchase, you agree to Stripe's Terms of Service. We do not store your payment card details on our servers.

2.4 Delivery

Upon successful payment, Templates are made available for download immediately from your account dashboard. You are responsible for downloading and securely storing purchased files. We maintain download access for your purchased Templates as long as the Service is operational, but we recommend keeping local backup copies.

3. License and Usage Rights

3.1 License Grant

Upon purchase of a Template, DashVault grants you a non-exclusive, non-transferable, perpetual license to:

• Download and install the Template on any number of devices you personally own or control
• Open, edit, modify, customize, and adapt the Template in any way using Power BI Desktop or any compatible software
• Use the Template (in original or modified form) for any lawful personal, internal business, or commercial purpose within your organization
• Create derivative works based on the Template for your own use
• Publish dashboards generated from the Template to Power BI Service, SharePoint, Microsoft Teams, or other platforms for viewing by members of your organization
• Print or export visualizations, reports, and insights generated by the Template for any purpose

3.2 Prohibited Uses

You may not, under any circumstances:

• Share or distribute Template files. You may not share, forward, upload to public repositories, post on file-sharing platforms, or otherwise distribute the original .pbit file or any derivative .pbit or .pbix files to any person or entity that has not independently purchased a license from DashVault.
• Resell or sublicense. You may not sell, resell, lease, sublicense, or otherwise commercially distribute the Template files (in original or modified form) as standalone products or as part of a competing template marketplace, toolkit, or product library.
• Claim authorship. You may not represent the Template as your own original creation for the purpose of selling or distributing it, or remove DashVault attribution where present in the template metadata.
• Provide access to unauthorized users. You may not provide your account credentials to others or allow others to download Templates through your account.

3.3 Permitted Sharing of Outputs

For clarity, the restrictions in Section 3.2 apply to Template files (the .pbit and .pbix files themselves), not to the data, insights, visualizations, screenshots, or reports generated from using a Template. You are free to share any outputs, reports, or dashboards with clients, colleagues, stakeholders, or the public.

3.4 Single-User License

Each purchase constitutes a single-user license. If multiple individuals within your organization need to independently edit or modify Template files, each person requires their own license. However, a single license holder may publish a completed dashboard for viewing by any number of people within their organization.

3.5 Enforcement

Unauthorized sharing, distribution, or resale of Template files constitutes a material breach of these Terms. We reserve the right to terminate your account, revoke access to all purchased Templates, and pursue legal remedies including damages and injunctive relief.

4. Intellectual Property

4.1 Our Ownership

DashVault retains all intellectual property rights in the Service, including the website design, code, branding, logos, and Template designs. The license granted in Section 3 does not transfer ownership of any intellectual property to you.

4.2 Your Content

You retain full ownership of any data, content, or modifications you create using the Templates. DashVault claims no rights over your data or the dashboards you build.

4.3 Feedback

If you provide suggestions, feature requests, or other feedback about the Service, you grant us a non-exclusive, royalty-free, perpetual license to use, modify, and incorporate such feedback into the Service without obligation to you.

5. Refund Policy

5.1 30-Day Money-Back Guarantee

We offer a 30-day money-back guarantee on all Template purchases. If you are not satisfied with a Template for any reason, contact us within 30 days of purchase at support@dashvault.co and we will process a full refund.

5.2 Refund Process

Refunds are processed through Stripe and returned to the original payment method. Please allow 5–10 business days for the refund to appear on your statement. Upon refund, your license to the refunded Template is revoked and you must delete all copies of the Template file.

5.3 Abuse

We reserve the right to refuse refund requests that we reasonably believe to be fraudulent or abusive, such as repeated purchases and refund requests for the same product.

6. Data Privacy and Security

6.1 Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

6.2 Your Data Stays Local

6.3 Account Data

We collect and process account data (email address, purchase history) as described in our Privacy Policy. This data is used solely for providing the Service.

7. Disclaimers

7.1 "As Is" Provision

The Service and all Templates are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7.2 No Guarantee of Results

We do not guarantee that the Templates will produce any specific business outcomes, insights, or results. Templates are tools that depend on the quality and completeness of the data you provide.

7.3 Compatibility

Templates are designed for use with Power BI Desktop (Windows). We do not guarantee compatibility with other software, operating systems, or future versions of Power BI. While we strive to maintain compatibility, changes to Power BI by Microsoft may affect Template functionality.

7.4 Availability

We do not guarantee uninterrupted or error-free access to the Service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

8. Limitation of Liability

To the maximum extent permitted by applicable law, DashVault and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or in connection with your use of the Service or any Template, whether based on warranty, contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages.

Our total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the total amount you have paid to DashVault in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless DashVault and its officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your unauthorized distribution of Template files.

10. Account Termination

10.1 Termination by You

You may delete your account at any time by contacting us at support@dashvault.co. Upon deletion, your access to the Service and your ability to download Templates will be revoked. Your license to previously downloaded Templates survives account termination, subject to the terms in Section 3.

10.2 Termination by Us

We may suspend or terminate your account at any time if we reasonably believe you have violated these Terms, including but not limited to unauthorized sharing or distribution of Template files. We will make reasonable efforts to notify you before termination, except where immediate action is required (e.g., to prevent ongoing infringement).

10.3 Survival

Sections 3 (License and Usage Rights), 4 (Intellectual Property), 7 (Disclaimers), 8 (Limitation of Liability), 9 (Indemnification), and 12 (Governing Law) survive termination of your account and these Terms.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on this page with a revised "Last updated" date and, where feasible, by email. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

12.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through binding arbitration or in the courts of competent jurisdiction.

13. General Provisions

13.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and DashVault regarding the Service and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

13.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
